Mr. Albert has over thirty years of professional experience including holding prominent positions with the Federal Government (honor graduate with the United States Department of Justice, international and national law firms, and

in-house counsel roles).  

Complex real estate and business transactions

Mr. Albert handles international and national real estate transactional matters including major real estate acquisitions, development, dispositions, and leasing across the United States, and has been involved in commercial, industrial, and retail projects totaling in excess of  2 billion dollars.  His practice includes assisting clients to structure and document the ownership of projects with private and institutional investors, documenting financing with outside lenders, and documenting leases and the disposition of the property which involves drafting, reviewing, and negotiating of purchase contracts, project development agreements and documents, leases (industrial, retail and office), licenses, option contracts, closing documents, CC&Rs, title, easements and other transactional documents.

 

Joint Venture and LLC Formation  

Mr. Albert negotiates and documents the formation of joint venture relationships and the sale of corporate interests and limited liability company membership interests holding real estate.

 

Workouts and remedies

Mr. Albert has extensive experience in representing lenders and borrowers in loan work-out negotiations, foreclosures and reorganization proceedings in bankruptcy courts.

 

Project financing  

Mr. Albert has drafted bank and insurance financing documents for large scale projects as well as private financing documents.

 

Litigation  

Mr. Albert has proven experience with complex business and civil matters and related transactions and litigation, including real estate, landlord/tenant, and construction, bankruptcy, contracts and business crimes, employment-whistleblower, environmental, securities, intellectual property and professional responsibility.

 

Complex case and matter management

Mr. Albert has extensive experience directing and managing real estate litigation, including insurance matters, construction, mechanic’s liens and bankruptcy matters and creditor claims. Mr. Albert has also managed commercial and business matters, including entity dissolution, and trade secret and competition issues.

 

Comprehensive corporate counseling 

Mr. Albert represents and counsels corporations, joint ventures, partnerships and limited liability companies from entity formation, financing, and operations.

 

Employment transactions 

Mr. Albert prepares and negotiates executive employment agreements and internal financing arrangements relating to real property development and ownership, and severance/separation agreements.

Mr. Coss has extensive experience handling national and local real estate transactional matters for national and local real estate developers and property owners, and has been involved in commercial, industrial and retail projects ranging from several hundred million dollars per project to small development projects.  His practice includes everything from the acquisition of the property, assisting clients with the entity formation for the projects, assisting with financing of the projects with private and institutional investors, preparing lease agreements, preparing and reviewing development management and construction agreements, as well as financing documents, option contracts, title reports, easements, sale agreements and escrow documents for both purchases and sales.

Mr. Coss negotiates and documents the formation of joint venture relationships and the sale of corporate interests and limited liability company membership interests holding real estate.

 

Project financing

Mr. Coss assists clients in negotiating and documenting financing for their real estate projects, including loan workouts.

Mr. Coss has handled numerous bench and jury trials and has litigation expertise in landlord tenant matters and breach of contract claims, as well as catastrophic and simple personal injury claims.
